Can I invest in only one musical?

 

This public offering is unique in that your investment supports the creation of the TV series featuring ALL FOUR MUSICALS.  This project is designed to give you the greatest possible return on your investment. 

 

I know there are financial risks with any investment. But how will any potential return on my investment be determined?

 

If, following the creation of one or more live musical productions, the Issuer realizes gains, then the net cash flow shall be distributed to each Investor in the same proportion as their investment bears in relation to the total amount raised from all Investors, until each Investor has received in return the total of the capital they originally invested, as defined in Article 6.1.5 (distributions) in the Offering Circular.

 

Following the return of the original capital investment to all the Investors, 50% of all subsequent adjusted net profits shall be divided among the Investors with each Investor receiving their proportionate return for the number of units they own. An amount equal to 50% of the adjusted net profits shall be paid to the managers of the company.

 

Opening Night Enterprises, LLC and its Investors would still continue to receive income from these four musicals as part of season one of the TV series and beyond.  

Where will “Company Net Profits” come from?

 

Media properties have various potential revenue streams, and the company has taken contingent positions in each available revenue stream for each of the four musical properties in an attempt to diversify the potential gains from its investment across all possible revenue streams of each musical property. This includes not only potential advertising sales and distribution sales and/or licensing deals from the original TV series, it also includes potential returns from live stage performances of each musical, including any Broadway run, as well as ancillary revenue streams in alternative media formats such as film, scripted television, publishing and the like as well as any revenue from merchandising associated with exploitation on each platform.

What is the minimum amount I can invest in Opening Night Enterprises?

The company may raise up to $50M (via sale of the total available 100,000 Units). The minimum investment required to join this offering is $500.00 (which equals one Unit). Qualified investors may invest in as many Units as they choose up to the offering maximum of 100,000 and subject to availability.  Qualified investors may also invest in fractional units provided they have first invested at least the offering minimum amount of Five Hundred United Stated Dollars (USD $500.00). 

When do you plan to start production of the TV series?

Upon raising approximately $1,000,000 we will begin production of the TV pilot with the TV series soon to follow.

 

When will the TV series air?

All matters pertaining to distribution of the TV series in different markets, will be determined by the company in conjunction with the series’ distributor(s) in the various market(s).
